Release, Confidentiality and Intellectual Property Agreement

To Whom It May Concern:

I, the undersigned Participant, at the request of a representative of Sport Maska Inc. dba CCM Hockey (the “Company”) and for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, including, but not limited to, ice-time opportunities and product discounts, have agreed to assist the Company, from time to time, in research projects sponsored by the Company and/or in ongoing testing of new ice hockey products being developed by the Company.

I agree to conform to the requirements of the Company representatives with respect to the research projects and/or to the different tests undertaken.

I agree that I will not participate, in any manner whatsoever, during my involvement with the Company, in any research project or product testing in the field of Hockey or Lacrosse, for any person, company or entity other than the Company including, without limitation, those businesses that develops and/or sells Hockey or Lacrosse products (for example, businesses that carry on under the trade names Bauer, Easton, Graf, Sherwood, Vic, Warrior, True Hockey, Vaughn Hockey, Brian’s and Maverick/Cascade Lacrosse).

I fully understand that:

1. my participation in the sport of hockey, even with all protective equipment, carries with it an inherent risk of injury, including possible serious injury to the head, the neck, or the spine, paralysis or even death;
2. there may exist certain safety and performance deficiencies in the new products in their present forms that my testing may disclose and the additional dangers inherent in such testing are entirely at my own risk; and
3. my testing of the new products constitutes part of the research and development, which precedes finalization of these new products and that these products have not yet been approved for consumer use.

I hereby release the Company, its parent, affiliates and subsidiaries, as well as the directors, officers, employees, agents, successors and assigns of the foregoing, from any and all claims, demands, damages, actions, causes of action, suits, debts, judgments and liabilities whatsoever, in law or equity, arising out of my participation in the research projects and/or testing programs. I fully understand this provision in its entirety.

I understand that as a result of my participation in the research projects and/or testing programs, I will be exposed to sensitive information of a confidential nature relating to such research projects and/or to new products, including the fact that the Company is conducting such research projects, that such new products exist, that the Company is testing them, the description of such products along with its design and any of its features, the nature, frequency, time and location of the tests, the content of the questionnaire the Company is asking me to sign, my views on the new products, my suggestions as to potential improvements and my answers on the questionnaire (collectively, the “Confidential Information”).

I undertake not to disclose to any person any of the Confidential Information for any reason or purpose whatsoever. For the sake of certainty and without being limiting, I hereby agree:

• Not to take a picture, or allow anybody else to take a picture, of any product provided to me pursuant to my participation in a testing program;
• Should I become aware that a picture of any product provided to me pursuant to my participation in a testing program has been taken and/or disclosed, to immediately advise a Company representative thereof; and
• When I am not testing a product provided to me pursuant to my participation in a testing program, to store such product in a way that its confidentiality will be preserved, such as keeping it in a closed hockey bag and/or in a location generally inaccessible to the public.

I also understand that the Company is the sole owner of the equipment I will use during testing, and that at the end of the testing period, I will have to return to the Company all of the equipment that I have been provided with by the Company or its representatives.

I further recognize that, during my involvement in such research projects and/or product testing, my views and opinions/suggestions will be sought by the Company, which may result in the creation of intellectual property. I hereby assign and agree to assign to the Company the full right, title, and interest in and to all such intellectual property.

This document shall be construed in accordance with the laws of the Province of Quebec and the undersigned acknowledges having requested that the foregoing be drafted in the English language. Le ou la soussigné(e) reconnait avoir requis que le présent document soit rédigé dans la langue anglaise.
